Arifity Designs – Terms & Conditions

Binding Agreement

By Placing An Order, Initiating Contact for Services, Or Making Payment to Arifity Designs ("Designer," "We," "Us," "Our"), You ("Client," "You," "Your") Enter into A Legally Binding Contract and Unconditionally Agree to These Terms & Conditions in Their Entirety. These Terms Supersede All Prior Agreements, Representations, Or Understandings. Ignorance Of These Terms Is Not a Defense to Enforcement.

Acknowledgment: Placement Of an Order Constitutes Electronic Signature and Full Acceptance. Any Attempt to Circumvent, Exploit, Or Misinterpret These Terms Constitutes Material Breach and May Result in Immediate Legal Action, Loss of All Payments, Forfeiture of Deliverables, And Permanent Blacklisting.

"Client" – Any Individual, Business Entity, Organization, Or Party Ordering Services

"Designer" – Arifity Designs and Its Authorized Representatives

"Services" – All Digital Design, Animation, Branding, And Related Work

"Deliverables" – Final Files, Assets, Or Digital Products Provided Upon Completion

"Order" – Formal Service Request Via Official Arifity Designs Channels

"Revisions" – Modifications Requested After Initial Draft Delivery

"Business Day" – Monday Through Friday, Excluding Public Holidays

"Commencement" – Point at Which Designer Begins Active Work on The Project

Arifity Designs Provides Exclusively Digital Design Services Including but Not Limited To:

• Logo Design (Standard & Vector Formats)
• Animated Graphics (Standard & Premium Tiers)
• Clothing & Livery Design
• Discord Server Setup and Design
• Bot Package Design
• Comprehensive Branding Packages

Explicit Limitations:

• No Physical Products Are Manufactured or Delivered
• Services Are Digital-Only Unless Explicitly Contracted Otherwise
• Custom Requests Outside Listed Services Require Separate Written Agreement
• All Work Is Performed Remotely; No On-Site Services Are Provided

3.1 Payment Requirements

• 100% Upfront Payment Mandatory – No Work Commences Without Full Payment Received and Cleared
• Accepted Methods: PayPal, Stripe, Bank Transfer (UAE), Or Pre-Approved Alternatives
• Currency: USD Unless Expressly Agreed Otherwise in Writing
• Payment Confirmation: Client Receives Official Confirmation Within 24 Hours of Cleared Payment

3.2 Payment Enforcement

Critical Clause: Any Of the Following Constitutes Immediate Material Breach:

• Non-Payment Or Partial Payment
• Payment Reversal, Chargeback, Or Dispute (Fraudulent or Otherwise)
• Use Of Stolen Payment Methods or Fraudulent Credentials
• Claim Of "Unauthorized Transaction" After Delivery

Consequences Of Breach:

1. Immediate Termination of All Services
2. Permanent Retention of All Payments Made
3. Forfeiture Of All Work, Drafts, And Deliverables
4. Legal Action for Payment Recovery, Statutory Damages, And Legal Fees
5. Permanent Blacklisting from All Future Services
6. Reporting To Relevant Fraud Prevention Authorities

3.3 Chargeback Protection

Absolute Prohibition: Chargebacks Are Strictly Forbidden. By Placing An Order, Client Waives All Rights to Initiate Chargebacks Through Payment Processors. Any Chargeback Filed Will Be Vigorously Contested with Full Documentation and Will Trigger:

• Immediate DMCA Takedown Notices If Work Is Published
• Collection Proceedings for Triple the Original Amount
• Legal Action for Fraud and Breach of Contract
• Negative Reporting to Business Credit Bureaus Where Applicable

3.4 Partial Payments

Not Accepted Under Any Circumstances Unless Documented in Separate Written Addendum Signed by Both Parties.

4.2 Timeline Extensions

Designer Reserves the Right to Extend Timelines Due To:

• Extraordinary Complexity Discovered During Production
• Client Unresponsiveness or Delayed Feedback
• Excessive Revision Requests Beyond Scope
• Force Majeure Events (Technical Failures, Emergencies, Acts of God)

4.3 Client-Caused Delays

Client Responsibility: Timelines Pause If Client:

• Fails To Respond Within 48 Hours to Requests for Information
• Provides Incomplete, Unclear, Or Contradictory Requirements
• Requests Scope Changes Mid-Project
• Fails To Approve Drafts Within Reasonable Timeframes

Abandonment Clause: If Client Fails to Respond For 5 Consecutive Business Days, Designer May:

• Consider The Project Abandoned
• Close The Order Without Refund
• Retain All Payments as Compensation for Work Performed
• Delete All Drafts and Work-In-Progress Files

5.2 Revision Definitions

Minor Revision: Color Adjustments, Font Changes, Minor Positioning, Small Text Edits (≤15 Minutes Work)

Major Revision: Layout Restructuring, Significant Redesign, Concept Changes (>15 Minutes Work)

Complete Redesign: Fundamental Change Requiring New Concept (Treated as New Project with Additional Fees)

5.3 Excess Revisions

• Additional Revisions Beyond Included Allotment Are Separately Invoiced
• Rates: $25-$75 Per Revision Round Depending on Complexity
• Payment Required Before Additional Revision Work Begins
• No Exceptions, Regardless of Reason

5.4 Revision Abuse Prevention

Anti-Exploitation Clause: The Following Are Strictly Prohibited and Constitute Breach:

• Requesting "Minor" Changes That Are Actually Major Revisions
• Submitting Vague Feedback to Extend Revision Count
• Claiming Included Revisions Were "Unsatisfactory" To Obtain Free Work
• Requesting Revisions After Final Approval and Delivery

Penalty: Immediate Project Closure, Forfeiture of Remaining Revisions, No Refund.

6.1 No Refund

Iron-Clad Rule: Once Work Begins, No Refunds Under Any Circumstances, Including but Not Limited To:

• Change Of Mind
• Budget Issues
• Project Cancellation
• Dissatisfaction With Style (When Style Was Approved in Brief)
• Personal Circumstances
• Third-Party Influences

6.2 Post-Delivery

Final Sale: Upon Delivery of Final Files, Transactions Are Complete and Final. No Refunds, Returns, Or Exchanges Possible.

6.3 Designer-Initiated Cancellation

Designer May Cancel Orders Due To:

• Client Breach Of Terms
• Abusive, Threatening, Or Unprofessional Conduct
• Illegal Or Unethical Project Requests
• Impossibility Of Performance

Refund: At Designer's Sole Discretion, Ranging From 0-100% Depending on Work Completed.

6.4 Dispute Resolution Prohibition

Mandatory Arbitration: Client Agrees to Resolve All Disputes Through Binding Arbitration in The Use. Client Waives All Rights To:

• Initiate Payment Platform Disputes
• File Small Claims Actions
• Participate In Class Action Lawsuits
• Seek Injunctive Relief

Exception: Designer Retains All Rights to Pursue Immediate Legal Remedies for Intellectual Property Theft, Fraud, Or Non-Payment.

7.1 Ownership Transfer

Conditional Transfer: Full Ownership Rights Transfer to Client Only Upon:

1. Receipt Of Full Cleared Payment
2. Completion And Delivery of All Deliverables
3. Client Compliance with All Terms

Prior To Transfer: Designer Retains 100% Ownership of All Work Product, Concepts, Drafts, And Deliverables.

7.2 Client License Grant

Upon Ownership Transfer, Client Receives:

• Perpetual Use Rights for Intended Commercial or Personal Purposes
• Right To Modify for Own Use (Not for Resale)
• Right To Reproduce for Own Marketing and Operations

7.3 Prohibited Uses

Client Is Absolutely Prohibited From:

• Reselling, Redistributing, Or Sublicensing Deliverables as Standalone Products
• Claiming Original Authorship or Design Credit
• Using Deliverables in Template Libraries, Asset Marketplaces, Or Stock Repositories
• Reverse Engineering for Competitive Purposes
• Removing Or Obscuring Designer Watermarks (If Applicable)

Extended Commercial License: Required For Resale, Redistribution, Or Sublicensing Rights. Additional Fee Of 200-500% Of Base Price.

7.4 Designer Portfolio Rights

Non-Exclusive License: Designer Retains Perpetual Rights To:

• Display Work in Portfolio, Website, And Social Media
• Use As Case Studies and Marketing Materials
• Submit To Design Competitions and Publications
• Share As Examples with Prospective Clients

Opt-Out: Available for An Additional 25% Fee with Written NDA. Even With Opt-Out, Designer May Still Use Non-Identifiable Descriptions of Work Performed.

7.5 Intellectual Property Infringement

Zero Tolerance: Unauthorized Use Beyond Licensed Scope Triggers:

• Immediate Cease and Desist Notice
• Dmca Takedown Requests
• Legal Action for Statutory Damages ($750-$150,000 Per Infringement Under Applicable Law)
• Injunctive Relief
• Recovery Of All Legal Fees and Costs

8.1 Required Actions

Client Must:

1. Provide Complete, Accurate Project Brief and Requirements
2. Supply All Necessary Assets, References, And Materials
3. Respond To Communications Within 48 Hours
4. Provide Timely Feedback and Approvals
5. Review And Approve Drafts Within 72 Hours
6. Ensure All Provided Materials Are Legally Owned or Licensed

8.2 Prohibited Submissions

Client May Not Provide:

• Copyrighted Materials Without Proper Authorization
• Trademarked Content Without Ownership Proof
• Illegal, Defamatory, Or Obscene Content
• Materials Infringing Third-Party Rights

Indemnification: Client Is Solely Responsible for Any Legal Claims Arising from Materials They Provide.

8.3 Communication Standards

Mandatory Professionalism: Client Agrees To:

• Communicate Respectfully and Professionally
• Avoid Abusive, Threatening, Or Harassing Language
• Refrain From Excessive or Unreasonable Demands
• Use Official Communication Channels Only

Breach Penalty: Abusive Conduct Results in Immediate Project Termination Without Refund and Permanent Blacklisting.

9.1 Delivery Method

Files Delivered Via:

• Google Drive (Preferred)
• WeTransfer
• Discord (For Smaller Files)
• Email (Compressed Archives)
• Arifity Order Tracker (When Available)

9.2 Standard Formats

Default Deliverables:

• Logos: Png (Transparent), Jpg, Source File (Psd/Ai)
• Animations: Mp4, Gif, Source File (Ae/Psd)
• Designs: Png, Jpg, Psd

Custom Formats: Must Be Specified Before Commencement. Requests For Additional Formats After Delivery May Incur Additional Fees ($10-$50 Depending on Complexity).

9.3 File Retention

Designer Retains Project Files For 30 Days Post-Delivery. After This Period:

• Files May Be Permanently Deleted
• No Obligation to Maintain Archives
• Re-Delivery Requests May Incur Fees ($25-$100)

Client Responsibility: Download And Backup All Files Immediately Upon Delivery. Loss Of Files Due To Client Negligence Is Not Designer's Responsibility.

9.4 Technical Requirements

Client Systems: Client Is Responsible for Ensuring Compatibility with Their Systems, Software, And Platforms. Designer Is Not Liable for Technical Issues on Client's End.

10.1 Prohibited Activities

Client Agrees Not To:

• Use Services for Illegal Purposes (Fraud, Money Laundering, Etc.)
• Create Defamatory, Discriminatory, Or Hate-Based Content
• Misrepresent Identity or Affiliation
• Exploit Loopholes or Technicalities in These Terms
• Engage In "Refund Farming" Or Serial Disputes
• Share, Distribute, Or Resell Source Files Without Authorization
• Reverse Engineer Designer's Processes or Methodologies

10.2 Zero Tolerance Enforcement

Immediate Consequences:

• Service Termination Without Notice or Refund
• Forfeiture Of All Payments and Deliverables
• Permanent Blacklisting Across All Designer Platforms
• Legal Action for Damages, Injunctive Relief, And Legal Costs
• Reporting To Relevant Authorities and Fraud Databases

10.3 Fair Use Interpretation

Designer Reserves Sole Discretion in Determining What Constitutes Violation of Fair Use Principles. Decisions Are Final and Not Subject to Appeal.

11.1 Client Confidentiality

Designer Agrees To:

• Maintain Confidentiality of All Client Information
• Not Share Project Details with Unauthorized Parties
• Secure Client Data with Industry-Standard Practices
• Delete Sensitive Information Upon Request (Within 30 Days)

11.2 Portfolio Exemption

Standard Practice: Unless Client Purchases NDA/Confidentiality Package, Designer May Publicly Display Completed Work.

Opt-Out Available: For 25% Additional Fee, Client May Request:

• Work Not Be Publicly Displayed
• Project Details Remain Confidential
• Anonymized Case Study Usage Only

11.3 Data Processing

By Engaging Services, Client Consents To:

• Storage Of Project Files and Communications
• Use Of Cloud Services for File Delivery
• Processing Of Payment Information by Third-Party Processors
• Retention Of Records for Tax and Legal Compliance

12.1 Limitation of Liability

Maximum Liability Cap: Designer's Total Liability Is Limited to The Amount Paid by Client for The Specific Project in Question, Regardless of Claim Type.

12.2 Excluded Damages

No Liability For:

• Indirect, Incidental, Or Consequential Damages
• Lost Profits, Revenue, Or Business Opportunities
• Data Loss or Corruption
• Third-Party Claims or Actions
• Client's Misuse of Deliverables
• Damages Exceeding Fees Paid

12.3 Client Indemnification

Hold Harmless Agreement: Client Agrees to Indemnify, Defend, And Hold Harmless Designer Against:

• All Claims Arising from Client's Use of Deliverables
• Third-Party Intellectual Property Claims Related to Client-Provided Materials
• Legal Fees and Costs Incurred Defending Such Claims
• Damages, Settlements, Or Judgments Resulting from Client's Actions

12.4 Third-Party Materials

Client Warranty: Client Warrants They Have Legal Rights to All Materials Provided and Will Not Hold Designer Liable for Infringement Claims Related to Client-Supplied Content.

Designer Is Not Liable for Delays or Failures Due To Circumstances Beyond Reasonable Control, Including:

• Natural Disasters, Pandemics, Or Acts of God
• Government Actions, War, Or Civil Unrest
• Internet Or Telecommunications Failures
• Power Outages or Technical Infrastructure Failures
• Software Or Hardware Failures Beyond Designer's Systems

Extension Rights: Designer May Extend Timelines or Suspend Services During Force Majeure Events Without Penalty.

14.1 Applicable Law

These Terms Are Governed by United Arab Emirates (Uae) Federal Law Without Regard to Conflict of Law Principles.

14.2 Exclusive Jurisdiction

Mandatory Venue: Client Consents to Exclusive Jurisdiction of Courts in Dubai, Uae for All Disputes. Client Waives Objections to Venue or Inconvenient Forum.

14.3 Legal Fees

Prevailing Party Recovery: In Any Legal Action, Prevailing Party Is Entitled to Recover:

• All Attorney Fees and Legal Costs
• Court Costs and Filing Fees
• Expert Witness Fees
• Collection Costs and Expenses

15.1 Severability

If Any Provision Is Found Unenforceable, Remaining Provisions Remain in Full Force. Unenforceable Provisions Will Be Reformed to Closest Enforceable Interpretation.

15.2 Entire Agreement

These Terms Constitute the Entire Agreement and Supersede All Prior:

• Oral Or Written Agreements
• Proposals Or Quotations
• Representations Or Understandings
• Course Of Dealing or Industry Custom

15.3 Amendment Rights

Unilateral Modification: Designer Reserves the Right to Modify These Terms at Any Time. Changes Effective Immediately Upon Posting. Continued Use Constitutes Acceptance.

Client Responsibility: Check Terms Before Each Order. Placing Order After Modification Constitutes Acceptance of New Terms.

15.4 No Waiver

Failure To Enforce Any Provision Does Not Waive Designer's Right to Enforce It Later or Enforce Other Provisions.

By Placing An Order, You Affirm:

✓ You Waive Rights to Chargebacks and Payment Disputes

✓ You Agree to Indemnify Designer as Specified Herein

✓ You Acknowledge This Constitutes a Legally Binding Electronic Signature

Final Warning: These Terms Are Designed to Be Maximally Enforceable. Violations Will Be Met with Full Legal Recourse. If You Do Not Agree with Any Provision, Do Not Place an Order.

Anti-Fraud Provisions

• All Transactions Logged with Timestamps and Ip Addresses
• Full Documentation Retained for Legal Proceedings
• Electronic Signature Legally Binding Per Uae Electronic Transactions Law
• Payment Processor Documentation Supersedes Client Disputes

Blacklist Policy

Blacklisted Clients Are:

• Permanently Banned from All Current and Future Services
• Flagged In Industry Designer Networks
• Subject To Public Disclosure If Fraud Is Involved
• Reported To Payment Processors for Fraudulent Activity

Collection Rights

For Non-Payment or Chargebacks, Designer May:

• Engage Collection Agencies
• Report To Credit Bureaus
• File Civil Lawsuits
• Seek Treble Damages Where Applicable
• Pursue Criminal Fraud Charges If Warranted

These Package Terms & Conditions apply specifically to all design packages offered by Arifity Designs and form an integral, binding part of the overall Terms & Conditions agreement. By purchasing any package, the Client expressly agrees to all terms outlined below.

18.1 Non-Refundable Packages

• All design packages are strictly non-refundable once work has commenced, regardless of:

* Change of mind

* Delayed responses

* Project abandonment

* Dissatisfaction with subjective design preferences

• “Work commencement” includes, but is not limited to:

* Concept creation

* Research and planning

* Asset drafting

* Queue placement

• No refunds, partial refunds, credits, or chargebacks will be issued under any circumstances once work has begun.

18.2 Business Days & Working Schedule

• Official working days are Monday to Saturday only.
• Sundays and public holidays are excluded from all timelines, delivery estimates, and response expectations.
• Any communication or requests made outside business days will be addressed on the next working day.

18.3 Estimated Delivery Timelines & Delays

• All delivery timelines are estimates only and not guaranteed deadlines.
• Minor delays may occur due to:

* Workload volume

* Revision cycles

* Client response delays

* Technical or creative dependencies

• One (1) or two (2) deliverables within a package may be delivered later than others without constituting a breach.
• No refunds, compensation, discounts, or service extensions will be provided for minor or reasonable delays.

18.4 Stock-Based Monthly Package Availability

• Design packages are offered on a limited monthly slot basis.
• Once a package is sold out for a given month:

* Additional purchases are automatically scheduled for the next available month.

• Clients acknowledge that availability is not guaranteed for a specific month unless explicitly confirmed in writing by Arifity Designs.

18.5 Default Design Workflow & Scope Control

• The logo is always designed first, unless otherwise stated.
• All subsequent assets are created based on the approved logo’s theme, colors, and visual direction.
• Once the logo is approved:

* Any logo modification, redesign, or style change request will be treated as a new scope of work.

* Additional fees will apply for rework affecting dependent assets.

• Clients are responsible for ensuring logo approval accuracy before proceeding.

18.6 Package Workflows & Inclusions

The following outlines standard package contents and estimated completion timelines. Timelines may vary based on revisions and communication speed.

* Discord Server banner (2 days)-10x Embed banners 1.5 days

* Footer banner 2 days

* 2x Server advertisement (3 days)

* 3x liveries (3 days)

* x1 Uniform (2days)

* X Animation (2 secodn week of every month (6 days one animation)

* Animation for discord banner (second week of every month (4 days)

• ($89.99) (10 ITEMS IN VIP PACKAGE) Week 1 → Do static items (logo, banners, embeds, footer, ads, liveries, uniform). Week 2 → Slot in animations. Week 3–4 → Finish remaining items, revisions, polishing. 6 working days per week 27 days ÷ 6 = about 4.5 weeks (~1 month total)

18.7 Package Completion & Acceptance

• Deliverables are deemed accepted if no revision request is submitted within a reasonable timeframe.
• Excessive revision requests beyond the agreed scope may result in:

• Final files are delivered only after full compliance with package terms.
